TERMS AND CONDITIONS

Last updated: 14 October 2025

Welcome to Somewhere Tonight ("Somewhere Tonight", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your use of our website, communications, events, ticketing, and any other products or services we provide (collectively, the "Service"). By accessing or using the Service, you agree to these Terms and to our Privacy Notice.

If you do not agree to these Terms, please do not use the Service.

1. Who we are

Somewhere Tonight is a curated social dining and creative gathering series based in London.

Each event takes place somewhere cool in the city, in restaurants, wine bars, studios, or other design-led spaces chosen for their atmosphere and story. The exact location is revealed on the morning of the event.

Our contact details are set out in Section 22.

2. Eligibility

You must be at least 18 years old to use the Service and to attend any event. By using the Service you confirm that you are at least 18.

3. Your account and information

You may need an account to purchase tickets or interact with features of the Service. You are responsible for keeping your login and contact information accurate and secure, and for all activity on your account. Please notify us promptly if you suspect unauthorised access.

4. Event invitations, tickets and access

4.1 Invitations and curation. Attendance may be by invitation or at our discretion. We may refuse or revoke access where necessary for safety, security, capacity, curatorial reasons, or breach of these Terms.

4.2 Venue rules. Events take place at third party venues. You must follow all venue policies, including any health, safety, photography, and house rules. We are not responsible for the acts or omissions of venues or other attendees.

4.3 Age and ID. Events are strictly 18+. A valid government issued photo ID may be required for entry.

4.4 Dietary and accessibility needs. Please tell us about dietary requirements and accessibility needs in advance. We will make reasonable efforts to accommodate, subject to venue constraints.

5. Prices, fees and payment

5.1 Prices. Prices are listed in GBP and include VAT where applicable. Tickets are £15. Food and drinks are not included and are to be paid for on the night. We may change prices at any time before you place an order.

5.2 Payment processing. We use third party payment processors to take payment. By paying, you authorise the processor to charge your selected payment method for the total price shown. You must provide accurate and up to date billing details. We do not store full card details.

5.3 Service charges. Booking or processing fees may apply. Any fees will be shown before you complete your purchase.

6. Orders, confirmation and transfer

6.1 Contract formation. Your order is an offer to attend a specific event. A binding contract forms when we email your confirmation.

6.2 Ticket transfer. Unless we say otherwise for a particular event, tickets are personal and non transferable without our prior consent. If we permit a name change, an admin fee may apply.

6.3 Resale. Unauthorised resale is not allowed. We may cancel tickets we reasonably believe have been resold or offered for resale in breach of this Section.

7. Cancellations, changes and refunds

7.1 Cooling off. Tickets for leisure services supplied for a specific date or period generally do not carry a statutory 14 day cooling off right. We do not offer a discretionary cooling off period unless we state otherwise for a particular event.

7.2 Your cancellation. All sales are final. If you cannot attend, please contact us. We may, at our discretion, allow a transfer to another eligible guest or a future date, subject to availability and any admin fee.

7.3 Our changes. We may make changes to an event, including time, date, venue, seating, format, menu or host. If we make a material change or cancel, we will offer one of: a replacement ticket for a new date, a credit to use at a future event, or a refund of the face value paid for the affected ticket. Booking or delivery fees may be non refundable unless required by law.

7.4 Late arrival and no shows. Admission after the scheduled start time is not guaranteed. No refunds for late arrival or no shows.

7.5 Partially delivered services. Where an event is cut short due to circumstances outside our control, we may provide a proportionate credit as a goodwill gesture.

8. Behaviour and community standards

8.1 Respect. We aim to create a considerate environment. Do not harass, abuse, discriminate, or endanger others. We may refuse entry or remove any person who behaves inappropriately, is intoxicated, or breaches these Terms. No refund will be due in such cases.

8.2 Prohibited items and conduct. Follow all venue security rules. Illegal substances, weapons, and dangerous items are prohibited. Do not bring outside alcohol unless the venue expressly allows it.

9. Health and safety

Follow staff instructions and all posted signs. If you feel unwell, please do not attend. We may implement health measures that reflect current public guidance and venue policies. You agree to comply with any such measures.

10. Photography, filming and content

10.1 House photography. We often document our events. By attending, you give us permission to photograph, film and audio record you at the event, and to use your image and voice for editorial, archival and promotional purposes in any media, without payment. If you prefer not to be photographed, please tell a staff member on arrival and we will take reasonable steps to accommodate.

10.2 Your content. If you share photos, video, text or other content with us or tag us online ("User Content"), you grant us a worldwide, royalty free licence to use, copy, modify, adapt, publish, translate, create derivative works from, and display such User Content in connection with the Service and our promotion, with the right to sublicense to service providers. You promise that you own or control the rights in your User Content and that its use by us will not infringe any third party rights.

10.3 Guest privacy. Be mindful when photographing others. Obtain consent before capturing or posting identifiable images of other guests.

11. Direct communications

11.1 Operational messages. By providing your email or mobile number, you agree that we may send transactional messages about your booking, attendance and Service updates. Message frequency depends on your activity. Standard network rates apply to SMS.

11.2 Marketing messages. We will only send you marketing emails or texts if you have given valid consent or if we can rely on a permitted soft opt in. You can opt out at any time via the unsubscribe link or by replying STOP to SMS.

12. Privacy

We handle personal data as described in our Privacy Notice. That notice explains what we collect, why we use it, the legal bases we rely on, and your rights. Please read it carefully before using the Service.

13. Intellectual property

Except for User Content, all materials on the Service are owned by us or our licensors and protected by intellectual property laws. You must not copy, distribute, or create derivative works from our content without permission.

14. Third party services and venues

The Service may link to third party websites, services and venues. We are not responsible for their content, policies or acts. Your dealings with them are solely between you and the relevant third party.

15. Accessibility and equal treatment

We welcome guests of all backgrounds. We do not tolerate discrimination. We will make reasonable adjustments to improve access for disabled guests, subject to venue constraints. Please contact us in advance so we can support your visit.

16. Disclaimer

Events may involve food, drink, candles, and other environmental factors. You attend at your own risk and should take reasonable care. We do not guarantee uninterrupted or error free operation of any online Service.

17. Liability

17.1 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or any liability that cannot be limited or excluded by law.

17.2 Subject to Section 17.1, we will not be liable for: loss of profit, loss of business, loss of goodwill, or any indirect or consequential loss. Our total liability arising out of or in connection with the Service or any event will be limited to the total amount you paid to us for the affected booking in the 12 months before the claim.

17.3 We are not responsible for personal property brought to an event. Please keep valuables with you.

18. Indemnity

You agree to indemnify us against claims, losses, and expenses arising from: your breach of these Terms; your User Content; or your misuse of the Service, except to the extent caused by our negligence.

19. Changes to the Service and to these Terms

We may update the Service and these Terms from time to time. If we make a material change, we will notify you by posting the updated Terms on our site and updating the date at the top. Continued use of the Service after changes take effect means you accept the new Terms.

20. Suspension and termination

We may suspend or terminate your access to the Service where reasonably necessary, including for security, legal or policy reasons, or if you breach these Terms. You may stop using the Service at any time. Sections that by their nature survive will continue after termination.

21. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except that you may also bring proceedings in your local courts if required by mandatory consumer law.
